1. AGREEMENT TO THESE TERMS
These Terms of Service (“Terms”) are a legally binding agreement between you and Cruality LLC (“Cruality,” “Crualitics,” “we,” “us,” or “our”) governing your access to and use of the Crualitics website, applications, software, artificial-intelligence features, content, subscriptions, communications, and related services (collectively, the “Service”).
By creating an account, clicking an acceptance control, purchasing or using a subscription, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by:
(a) these Terms;
(b) the Privacy Policy;
(c) the Wellness, AI, and Crisis Disclaimer / Legal Waiver;
(d) the SMS Terms and Conditions, when you enroll in or use text-message features; and
(e) any additional terms presented for a particular feature, purchase, program, or promotion.
If you do not agree, do not create an account, purchase a subscription, or use the Service.
2. COMPANY AND SERVICE DESCRIPTION
Crualitics is operated by Cruality LLC. The Service provides mental-wellness, personal-development, educational, reflective, journaling, assessment, meditation, goal-planning, and artificial-intelligence-assisted support tools.
CRUAL is an artificial-intelligence system. CRUAL is not a human being, licensed therapist, physician, psychologist, psychiatrist, counselor, social worker, attorney, clergy member, emergency responder, or other licensed professional.
The Service is intended to support personal reflection, education, and general wellness. It does not diagnose, treat, cure, prevent, or manage any medical, psychiatric, psychological, substance-use, or other health condition.
3. ELIGIBILITY; MINORS
You must be at least 13 years old to use the Service.
A person who is 13 through 17 years old may use the Service only when a parent or legal guardian has reviewed and accepted these Terms, the Privacy Policy, and the Wellness, AI, and Crisis Disclaimer / Legal Waiver on the minor’s behalf and has authorized and supervises the minor’s use.
A minor may not falsely represent that the minor is an adult or falsely claim that parental or guardian consent has been obtained. A parent or legal guardian who authorizes a minor’s account represents that the parent or guardian has legal authority to do so, accepts responsibility for the minor’s use, and agrees to these Terms on the minor’s behalf.
The Service is not directed to children under 13. A child under 13 may not create an account or submit personal information. If we learn that we collected personal information from a child under 13, we may suspend or terminate the account and delete the information as required by applicable law.
We may request reasonable age, identity, or parental-authority verification. If the Service does not yet provide a functioning parental-consent process, registration for users under 18 must remain blocked until that process exists.
4. ACCOUNTS AND ACCOUNT SECURITY
You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for:
(a) safeguarding your login credentials;
(b) maintaining control of devices used to access your account;
(c) activity conducted through your account;
(d) promptly correcting inaccurate account information; and
(e) notifying us at support@crualitics.com if you suspect unauthorized access, credential compromise, or misuse.
You may not sell, transfer, lend, share, or impersonate another person’s account. You may not use another person’s phone number, email address, identity, payment method, or personal information without authorization.
We may require identity verification, reset credentials, restrict features, or suspend access when reasonably necessary to investigate security concerns, protect users or the Service, prevent fraud or abuse, comply with law, or enforce these Terms.
5. WELLNESS, AI, AND PROFESSIONAL-CARE LIMITATIONS
The Service provides educational, self-guided, and general wellness-support information only.
The Service is not:
(a) professional medical or mental-health care;
(b) psychotherapy or counseling;
(c) clinical screening, diagnosis, or treatment;
(d) medication management;
(e) crisis intervention or emergency monitoring;
(f) a medical device;
(g) a substitute for a licensed professional; or
(h) a substitute for calling emergency services.
Artificial-intelligence output may be incomplete, inaccurate, misunderstood, outdated, inconsistent, biased, or inappropriate for your circumstances. The Service may misunderstand language, context, risk, identity, symptoms, or intent. You are responsible for evaluating information and seeking qualified professional advice before relying on it for decisions involving health, safety, finances, legal rights, employment, relationships, or other significant matters.
No therapist-client, physician-patient, attorney-client, clergy-penitent, fiduciary, or other privileged professional relationship is created through the Service.
A licensed professional who uses the Service remains solely responsible for independent professional judgment, informed consent, licensing obligations, documentation, privacy duties, and all care or treatment decisions.
The Wellness, AI, and Crisis Disclaimer / Legal Waiver is incorporated into these Terms.
6. EMERGENCIES AND CRISIS SITUATIONS
Crualitics is not an emergency service. Crualitics does not continuously monitor accounts, conversations, journals, assessments, devices, messages, or user location.
Do not rely on the Service to detect, prevent, respond to, report, or resolve an emergency.
If you believe you or another person is in immediate danger, may attempt suicide or self-harm, may harm another person, or needs urgent medical attention:
(a) call 911 or the applicable local emergency number;
(b) in the United States, call or text 988 to contact the 988 Suicide & Crisis Lifeline;
(c) go to the nearest emergency department; or
(d) contact an appropriate local crisis service or qualified professional.
The Service may display crisis resources when certain language or patterns are detected. Automated detection may fail, respond late, or produce false positives. Displaying a resource does not mean that Cruality LLC has assessed, diagnosed, monitored, or accepted responsibility for the situation.
Crualitics does not send unsolicited crisis-intervention text messages under the Crualitics SMS Program.
7. USER CONTENT
“User Content” means journals, messages, conversations, assessment responses, goals, reflections, uploads, profile information, feedback, and other material you submit to or create through the Service.
As between you and Cruality LLC, you retain ownership of your original User Content.
You grant Cruality LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, analyze, and use User Content only as reasonably necessary to:
(a) operate and provide the Service;
(b) provide features you request;
(c) personalize your authorized experience;
(d) maintain account-specific memory or continuity features;
(e) secure, support, debug, and troubleshoot the Service;
(f) enforce these Terms;
(g) comply with law and valid legal process; and
(h) improve the Service using information that has been aggregated or de-identified where permitted by law.
This license ends when the relevant User Content is deleted from active systems, subject to reasonable backup cycles, legal obligations, fraud prevention, security records, dispute preservation, and other retention described in the Privacy Policy.
You represent that you have the rights necessary to submit User Content and that your User Content does not violate law, privacy, confidentiality, intellectual-property rights, or these Terms.
Do not submit information about another person unless you have lawful authority and an appropriate reason to do so. The Service is not designed to store formal medical records on behalf of healthcare providers.
8. ACCEPTABLE USE
You may use the Service only for lawful personal or authorized organizational purposes.
You may not:
(a) use the Service to threaten, exploit, stalk, harass, defraud, impersonate, or harm another person;
(b) encourage suicide, self-harm, violence, abuse, trafficking, exploitation, or illegal activity;
(c) upload malware, malicious code, or content intended to disrupt or compromise systems;
(d) bypass authentication, rate limits, subscriptions, safety controls, access restrictions, or security measures;
(e) probe, scan, test, or exploit a vulnerability except through authorized security testing or the responsible-disclosure process;
(f) scrape, crawl, harvest, index, or extract data by automated means without written authorization;
(g) reverse engineer, decompile, disassemble, or attempt to derive source code except to the limited extent a prohibition is unenforceable by law;
(h) use the Service or its protected content to build, train, benchmark, imitate, or improve a competing artificial-intelligence model or service without written authorization;
(i) copy or imitate CRUAL’s protected expression, branding, workflows, proprietary prompts, or distinctive presentation;
(j) infringe intellectual-property, privacy, publicity, confidentiality, or contractual rights;
(k) submit false registration, age, consent, payment, veteran-status, or eligibility information;
(l) resell, sublicense, rent, lease, or commercially exploit the Service without written authorization;
(m) use the Service in a way that creates unreasonable technical load or interferes with another user; or
(n) use output as the sole basis for decisions that legally require qualified human review.
We may investigate suspected violations and may preserve or disclose information as permitted by the Privacy Policy and applicable law.
9. INTELLECTUAL PROPERTY
The Service, including its software, design, organization, text, graphics, interfaces, features, branding, logos, original content, protected workflows, and proprietary materials, is owned by or licensed to Cruality LLC and is protected by copyright, trademark, trade-secret, and other laws.
Subject to these Terms, Cruality LLC grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for its intended purpose during the period you are authorized to access it.
No ownership rights are transferred to you. Rights not expressly granted are reserved.
“Crualitics,” “CRUAL,” associated logos, and related source identifiers may be trademarks or service marks of Cruality LLC. You may not use them in a manner likely to cause confusion or imply sponsorship or endorsement without written permission.
10. FEEDBACK
If you provide ideas, suggestions, or feedback about the Service, you grant Cruality LLC a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided that this section does not transfer ownership of your separate User Content.
11. SUBSCRIPTIONS, TRIALS, BILLING, AND CANCELLATION
Some features require a paid subscription. Prices, billing intervals, included features, trial terms, taxes, and other material purchase terms will be disclosed before purchase.
By starting a paid subscription, you authorize the applicable payment processor to charge the disclosed amount and applicable taxes to your selected payment method on a recurring basis until cancellation.
Unless otherwise disclosed at purchase:
(a) subscriptions automatically renew for the same billing interval;
(b) the renewal charge is made at the then-current disclosed price;
(c) you may cancel before renewal through the available account or billing controls;
(d) cancellation prevents future renewal charges but does not retroactively cancel the current paid period;
(e) access ordinarily continues through the end of the paid period; and
(f) partial periods are not refunded except where required by law or expressly stated in a written refund policy.
A trial may convert to a paid subscription only if the conversion, price, timing, and cancellation method were clearly disclosed and the user provided legally sufficient authorization.
You are responsible for maintaining accurate billing information. Payment processing is provided by third parties, and their terms and privacy notices may apply to payment data.
We may change subscription prices or features prospectively. We will provide notice required by applicable law before a material renewal-price change takes effect.
Nothing in these Terms limits non-waivable cancellation, refund, or consumer rights.
12. FAILED PAYMENTS, ACCESS RESTRICTIONS, AND DATA RETENTION
A failed or expired payment may result in retries, notices, a grace period, restricted access, suspension, cancellation, or account archiving. The exact operational lifecycle must be described consistently in the user’s account and Privacy Policy and must reflect actual implemented behavior.
Cruality LLC may retain limited records after account closure or deletion where reasonably necessary for legal compliance, payment and tax records, fraud prevention, security, dispute resolution, enforcement, or backup integrity.
13. THIRD-PARTY SERVICES
The Service may interact with third-party infrastructure, artificial-intelligence providers, payment processors, communications providers, hosting providers, analytics services, or external links.
Third-party services are governed by their own terms and privacy practices. Cruality LLC does not control and is not responsible for third-party services, except to the extent applicable law provides otherwise.
The Privacy Policy identifies categories of service providers and, where appropriate, named providers used by the Service.
14. PRIVACY
The Privacy Policy explains how Cruality LLC collects, uses, discloses, retains, and protects personal information. It is incorporated into these Terms.
The Service is not represented as compliant with the Health Insurance Portability and Accountability Act (“HIPAA”), and users must not assume that information submitted to the Service is protected health information under HIPAA. A healthcare provider must not use the Service to store or transmit protected health information unless Cruality LLC has expressly authorized that use in writing and all required agreements and safeguards are in place.
15. ELECTRONIC COMMUNICATIONS
You consent to receive legally required notices and account communications electronically, including by email, in-app notice, or through the Service.
Text-message communications are governed by the SMS Terms and Conditions. Providing a mobile number does not authorize unrelated marketing messages. Consent to optional automated text messages is not a condition of purchasing goods or services.
16. COPYRIGHT COMPLAINTS
A person who believes content on the Service infringes copyright may send a written notice to support@crualitics.com containing:
(a) identification of the copyrighted work;
(b) identification and location of the allegedly infringing material;
(c) contact information;
(d) a statement of good-faith belief that the use is unauthorized;
(e) a statement, under penalty of perjury, that the notice is accurate and the sender is authorized to act; and
(f) a physical or electronic signature.
Cruality LLC may remove content or restrict accounts in response to valid notices and may request a compliant counter-notice.
17. SUSPENSION AND TERMINATION
You may stop using the Service at any time. Account deletion and subscription cancellation are separate actions unless the Service expressly combines them.
We may suspend, restrict, or terminate access when reasonably necessary because of:
(a) a material breach of these Terms;
(b) fraud, abuse, unlawful conduct, or security risk;
(c) nonpayment;
(d) legal or regulatory requirements;
(e) threats to users, third parties, or infrastructure;
(f) discontinuation of the Service; or
(g) other objectively reasonable operational grounds.
Where appropriate, we may provide notice and an opportunity to cure. Immediate action may be taken when delay could create harm, legal exposure, fraud, or security risk.
Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnification, dispute provisions, and retention rights.
18. SERVICE CHANGES AND AVAILABILITY
The Service may change, be interrupted, contain errors, or become unavailable. Features may be added, removed, limited, or modified.
We do not guarantee uninterrupted operation, permanent availability of any feature, retention of every item of data, or compatibility with every device.
Users should maintain independent copies of information they cannot afford to lose.
19. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
CRUALITY LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND RESULTS.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR SUITABLE FOR YOUR PARTICULAR NEEDS; THAT AI OUTPUT WILL BE CORRECT OR SAFE; THAT A CRISIS WILL BE DETECTED; OR THAT USE WILL PRODUCE A PARTICULAR WELLNESS, RELATIONSHIP, FINANCIAL, PROFESSIONAL, OR HEALTH OUTCOME.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THIS SECTION APPLIES ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
20. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, CRUALITY LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; PERSONAL DECISIONS MADE IN RELIANCE ON THE SERVICE; FAILURE TO DETECT OR RESPOND TO A CRISIS; OR UNAUTHORIZED ACCESS OUTSIDE OUR REASONABLE CONTROL.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF CRUALITY LLC ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(a) THE AMOUNT YOU PAID TO CRUALITY LLC FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(b) ONE HUNDRED U.S. DOLLARS.
THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY TO THE EXTENT CAUSED BY GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR OTHER NON-WAIVABLE CONDUCT.
21. ASSUMPTION OF RISK
You understand that self-reflection, journaling, assessments, meditation, and AI-assisted conversations may produce discomfort, distress, memories, disagreement, or unexpected emotional reactions.
You voluntarily choose whether and how to use the Service and remain responsible for stopping use, seeking support, and contacting a qualified professional or emergency service when appropriate.
This section does not waive rights that cannot legally be waived.
22. INDEMNIFICATION
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Cruality LLC and its officers, members, employees, contractors, and licensors from third-party claims, liabilities, damages, judgments, losses, and reasonable legal expenses arising from:
(a) your unlawful or unauthorized use of the Service;
(b) your User Content;
(c) your violation of these Terms;
(d) your infringement or violation of another person’s rights; or
(e) your misuse of information or AI output.
This obligation does not apply to the extent a claim results from Cruality LLC’s own gross negligence, willful misconduct, or other conduct that cannot lawfully be indemnified.
23. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where federal law or a non-waivable law of your residence applies.
Unless applicable law requires otherwise, any judicial proceeding arising from these Terms or the Service must be brought in a state or federal court with jurisdiction in the Florida county where Cruality LLC maintains its principal place of business, and each party consents to personal jurisdiction and venue there.
24. TIME LIMITATION ON CLAIMS
To the extent permitted by law, a claim arising from these Terms or the Service must be filed within one year after the claim accrued. This section does not shorten a limitations period that applicable law prohibits the parties from shortening.
25. CHANGES TO THESE TERMS
We may update these Terms prospectively. The “Last Updated” date identifies the current version.
When required by law or when a change materially affects rights or obligations, we will provide reasonable notice and request renewed acceptance where legally necessary.
Continued use after the effective date of a non-material update constitutes acceptance. If you do not agree to an update, you must stop using the Service and cancel any subscription before the next renewal.
26. ASSIGNMENT
You may not assign these Terms without our written consent. Cruality LLC may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Service, subject to applicable law.
27. FORCE MAJEURE
Cruality LLC is not responsible for delay or failure caused by events beyond reasonable control, including internet or utility outages, natural disasters, war, terrorism, civil disturbance, labor disputes, government action, epidemics, provider outages, cyberattacks, or failures of third-party infrastructure.
28. SEVERABILITY; WAIVER; ENTIRE AGREEMENT
If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.
Failure to enforce a provision is not a waiver.
These Terms and incorporated policies are the entire agreement between you and Cruality LLC concerning the Service, except for a separately signed written agreement.
Headings are for convenience only. “Including” means “including without limitation.”
